Definitions

For this Referral Agreement, the following expressions or capitalized words when used here shall have the following meaning:

“Billplz SSO” means the single sign-on mechanism provided by Billplz for user authentication and access to various Billplz services.

“FPX B2B” means FPX B2B transaction conducted via Billplz to your Billplz Account subject to Billplz Payout policy to your bank account.

“FPX B2C” means FPX B2C transaction conducted via Billplz to your Billplz Account subject to Billplz Payout policy to your bank account.

“Referrer” means the individual or organization who refer potential merchants to Billplz.

“Referee” means the organization that has registered and been verified by Billplz as a result of the referral made by the Referrer.

“Referral Account” means the account created for the Referrer for the purpose of tagging and tracking their referrals

“Referral Dashboard” means the dashboard provided by Billplz where the Referrer can monitor and manage their Referral Activities and associated data.

“Referral Fee” means the incentive paid to the Referrer for successfully referring a new merchant to Billplz, subject to terms outlined in the Referral Agreement.

“Unique Referral Link” means the personalized link assigned to the Referrer to be redeemed by their potential Referee when signing up for a Billplz account.

Sole Discretion

We reserve the right to amend, modify, add or remove any terms under this Referral Agreement at any time, at our sole discretion. Changes shall become effective immediately upon upload and publication by us on the Billplz Website. Your continued use of Billplz Referral and/or Billplz Services shall constitute your acceptance of the prevailing Referral Agreement including any term which may have been amended from time to time. You are responsible for regularly checking this Referral Agreement for updates or amendments.

We reserve the right to change our Referral Fee periodically. Such change may or may not affect your Referral Account. We aim to provide reasonable notice to you if we are of the view that you are affected by the change. Changes shall become effective immediately upon notification by us to you via your registered login email or such other date as may be determined by Billplz. Your continued use of Billplz Referral shall constitute your acceptance of the latest Referral Fee changes.

Referrer Registration

Before registering as a Billplz Referrer, you must be verified with Billplz via Billplz SSO to create your Referral Account. To register for a Billplz Referral Account, the Authorized Users (you or the person applying) must provide Billplz SSO with your individual or organization name, individual or organization email addresses, phone number, and your individual or organization bank account details.

Your Billplz Account shall not be available to you until the required information submitted by you has been reviewed and approved by Billplz SSO. Once your Billplz Account has been verified at the Billplz SSO level, your bank account details cannot be changed.

You may register for a Referral Account with your verified individual’s or organization’s Billplz SSO account as long as you fulfilled either criteria below:

(i) Individual above 18 years of age with a Malaysian individual banking account
(ii) Organization registered with either the Companies Commission of Malaysia or Registrar of Societies, and other government entities located in Malaysia and possess a Malaysian corporate banking account

A unique referral link will be automatically assigned to you once your Referral Account has been created. You may obtain your unique referral link on the Billplz Referral dashboard and share it with your potential referees.

The Referee must sign up for a Billplz account using your unique referral link for you to be entitled to the Referral Fee. Once the Referee’s account has been registered with a Referral Account, the Referee’s account cannot be registered, modified or switched to another Referral Account.

Terms and Conditions for Billplz Referral Fee:

Billplz Referral Fee is only applicable for FPX B2C and B2B transactions collected by Billplz Referee’s account under Billplz Basic or Standard plan.
Billplz Referral Fee for each Referee is on an annual basis and will be automatically renewed for one (1) year under the condition that the Referee has processed a minimum of 365 transactions within three hundred and sixty-five (365) Calendar Days from their Billplz account’s verified date.
Billplz Referral Fee for each Referee is capped at a maximum of 5 years.
Billplz Referral Fee for the specific Referee will be terminated immediately once the Referee’s Billplz account has been closed by Billplz, including but not limited to, closure request by Referee and closure by Billplz with or without clause. The Referrer will not be entitled to any Billplz Referral Fee in the event the Referee requests to reactivate their Billplz Account.

All Billplz Referral Fees payout shall be in Malaysian Ringgit (MYR). No other currency shall be applicable to the payouts to your Banking Account.

Billplz Referral Fee accumulated for your Referral Account will be made available via your Billplz Referral dashboard on the 1st of every subsequent month. For example, your Referral fee for all applicable FPX transactions paid from 1st May 2024 to 31st May 2024 will be made available on your Referral dashboard by 1st June 2024.

Billplz will payout the accumulated Referral Fee to the verified banking account by the 15th of the subsequent month. Should there be any discrepancies on the Referral Fee amount reflected on the dashboard and/or Referral Fee received, please contact Billplz team at [email protected] within 14 calendar days.

You agree to ensure that your banking details registered at Billplz SSO remain accurate. Billplz shall not be held responsible for any losses you incur due to negligence or any other basis caused by you.

In the event your Referee’s Billplz account has been suspended, closed or limited due to any circumstances listed in Billplz’s User Agreement, Billplz has the right to withhold the payout of your accumulated Referral Fee of the specific Referee until the case has been closed.

Tax

Any fees are exclusive of all taxes, levies or duties imposed by tax authorities, and you shall be responsible for payment of all such taxes, levies or duties. You shall reimburse Billplz and hold Billplz harmless for all sales, use, value added tax, excise, property or other taxes or levies which Billplz is required to collect or remit to applicable tax authorities.

Termination

Billplz reserves the right to terminate the Program or any Referrer's participation in the Program at any time for any reason without prior notice

a. Suspension, closure, or limiting of your Billplz Referral Account without cause

Notwithstanding the above, Billplz may suspend, close or limit your Billplz Referral Account or remove any data or content transmitted via the Platform without liability, and any license created hereunder may be limited by Billplz.

b. Suspension, closure, or limiting of your Billplz Referral Account with cause

Billplz has the sole discretion to suspend, close or limit your Billplz Referral Account or remove any data or content transmitted via the Platform without liability, and any license created hereunder may be limited by Billplz:

if you use Billplz Services with false, manipulated, inaccurate, or misleading information regarding your identity, business entity, the nature of business, and any other information or official and legal documentation requested by Billplz. This includes inaccurate contact information provided to Billplz;
if you breach any of the provisions under this Referral Agreement or if you fail to perform any obligation required of you, and such failure is not cured within fourteen (14) days from the date of such notice of breach being issued by Billplz;
you file a petition for bankruptcy or insolvency, has an involuntary petition filed against it, commence an action providing for relief under bankruptcy laws, file for the appointment of a receiver, or is adjudicated a bankrupt;
if requested by law enforcement or government agency or otherwise to comply with applicable laws, provided that Billplz shall use commercially reasonable efforts to notify you before suspending the access to the Platform as permitted under this Referral Agreement;
as otherwise specified in this Referral Agreement;
if you intentionally and/or knowingly use Billplz Services for the following activities that fall under our Appendix of Regulated and Prohibited Nature of Business.

Billplz shall use reasonable endeavors to try giving you notice of such termination, suspension, closure, or limitation at its sole discretion.

c. Effect of Termination

Upon termination of the Program or a Referrer’s participation, you shall cease all referral activities and will no longer be eligible for incentives for any referrals made before, during and after the termination date.

You shall no longer access your Billplz Referral Account and you shall not circumvent any security mechanisms contained therein. You shall also forthwith withdraw any reference to or related forms by Billplz and/or Billplz Services from your documents and/or websites and shall forthwith cease the use of the Marks.

d. Other Remedies

Termination of this Referral Agreement shall not limit either Party from pursuing other remedies available to it, including injunctive relief, nor shall such termination relieve your obligation to pay all fees that have accrued or are otherwise owed by you under this Referral Agreement.

Referral Warranties & Obligations

You are solely responsible for your relationship with your Referees. You shall ensure that your Referee uses your unique Referral link to sign up for a Billplz account. Billplz is not responsible for any losses you may incur as a result of negligence or whatsoever that cause you to be ineligible for your Referral Fee.

You are solely responsible for understanding and complying with all laws, rules, and regulations of your specific jurisdiction that may apply to you in connection with your use of Billplz Services, including but not limited to, those related to export or import activity or taxes.

Before entering its data and Information, you shall be obliged to check the same for viruses or other harmful components and to use state-of-the-art anti-virus programs for this purpose.

Indemnity

You agree to indemnify us, our directors, officers and employees, subsidiaries, affiliated and holding companies to the fullest extent possible, from and against all liabilities, costs, demands, or claims whatsoever on a full indemnity basis, which may be made by any third party or suffered by us due to a breach by you of this Referral Agreement, or arising in any way from your default, acts, omissions and/or negligence in connection with the Billplz Services.

Privacy Policy & Data Protection Obligations

You agree to our Privacy Policy incorporated herein by reference and accept that it forms an essential and integral part of this Referral Agreement.

You consent to our use of your data under the terms of our Privacy Policy. You agree that by registering a Billplz Referral Account with us and/or using Billplz Services, you have authorized and consented to your data being disclosed to and/or processed by such third parties as may be necessary for our providing the Billplz Services to you.

You grant us consent to confirm your data with other entities or agencies for us to verify your identity and/or to comply with any legal or regulatory requirements in connection with Billplz Services.

You accept that we may be required to revise our Privacy Policy from time to time. All revisions shall be promptly notified through Billplz Website. Your continued use of Billplz Account and/or Billplz Services shall mean that you have agreed and consented to our Privacy Policy as revised.

Third Party Terms & Websites

a. Third-Party Services and/or Platform

Billplz Services may use third-party services and/or contain third-party software that requires notices and/or additional terms and conditions. Such required third-party services and/or software notices and/or additional terms and conditions may be requested from Billplz and are made a part of and incorporated by reference into this Referral Agreement. By accepting this Referral Agreement, you are also accepting the additional terms and conditions, if any, set forth therein.

b. Third-Party Websites

Billplz Website and/or Platform may provide hyperlinks to websites not controlled by us and such hyperlinks do not imply our endorsement, agreement on, or support of the content, products, and/or services of such applications or websites. Billplz Website and/or Platform does not editorially control the content, products, and/or services on such websites and shall not be liable, in any nature whatsoever, for the access to, or the inability to access to, or the use, inability to use or content available on or through such websites.
